These Terms and Conditions ("Terms") govern your use of the products and services provided by Dhanani ("we," "us," or "our"), including Book With AI (bookwithai.app) and SANAA, our AI voice receptionist. By using our services, you agree to these Terms.

1. Acceptance of Terms

By accessing or using any Dhanani product or service, you confirm that you are at least 18 years of age and have the legal authority to enter into these Terms. If you are using our services on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Description of Services

Dhanani provides the following services:

• Book With AI: An online booking platform for salons, spas, and barbershops that enables appointment scheduling, payment processing, SMS confirmations, and automated reminders.
• SANAA: An AI-powered voice receptionist that answers inbound calls, handles appointment bookings, and sends SMS booking links on behalf of our business clients.

3. Subscription Plans and Billing

Our services are offered on a monthly subscription basis. Current plans are:

• Essential (Tier 1): $97/month (beta) / $297/month (full price)
• Pro (Tier 2): $197/month (beta) / $497/month (full price)
• Elite (Tier 3): $597/month (beta) / $897/month (full price)

Beta pricing is available to founding clients and is locked in for the duration of their active subscription. Billing occurs monthly on the date of subscription activation. All prices are in USD.

4. Payment Terms

Payments are processed securely through Stripe. By subscribing, you authorize us to charge your payment method on a recurring monthly basis. All charges are non-refundable except as described in our refund policy. Failed payments may result in service suspension after a 5-day grace period.

5. Cancellation Policy

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. You will retain access to the service until the end of the period you have paid for. We do not provide prorated refunds for partial months.

6. Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms. You must not:

• Use the services to send spam, unsolicited messages, or harassing communications
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use our services to violate any applicable law or regulation
• Misrepresent your identity or business to obtain services
• Use our AI services to deceive customers in harmful ways
• Resell or sublicense our services without written permission

7. SMS Communications

Our platform sends SMS messages to customers of our business clients who have explicitly opted in to receive such communications. As a business client using Book With AI:

• You are responsible for ensuring your customers have properly opted in to receive SMS communications
• You must not use our SMS features to send unsolicited marketing messages
• All SMS communications must comply with applicable laws including TCPA and carrier guidelines
• Customers can opt out at any time by replying STOP

8. AI Voice Services (SANAA)

SANAA is an AI-powered voice receptionist. By using this service:

• You acknowledge that calls may be recorded and transcribed for booking purposes
• You are responsible for informing your customers that they may be interacting with an AI
• You must comply with all applicable call recording laws in your jurisdiction
• SANAA operates within configured parameters — you are responsible for the accuracy of the information provided to SANAA

9. Intellectual Property

All content, software, and technology used in our services is owned by Dhanani or our licensors and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from our products without written permission.

You retain ownership of your business data including client information, booking records, and business details. By using our services, you grant us a limited license to use this data solely to provide and improve our services.

10. Limitation of Liability

To the maximum extent permitted by law, Dhanani shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, data, or business opportunities, arising from your use of our services.

Our total liability to you for any claim arising from these Terms or your use of our services shall not exceed the amount you paid us in the three months preceding the claim.

11. Service Availability

We strive to maintain high availability of our services but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice. We are not liable for service interruptions caused by circumstances beyond our reasonable control.

12. Data and Privacy

Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the data practices described in our Privacy Policy.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days notice of material changes via email to your registered address. Your continued use of our services after the effective date of changes constitutes acceptance of the updated Terms.

14. Termination

We may suspend or terminate your access to our services if you violate these Terms, fail to pay fees, or engage in behavior that we reasonably believe harms our services, other clients, or their customers. We will provide notice of termination where reasonably practicable.

15. Governing Law

These Terms are governed by the laws of the State of Tennessee, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Shelby County, Tennessee.
